In order to best manage expectations for both companies, we have developed a list of criteria that is critical to us in your performance.  When you entrust us with your clients we pledge to provide you with the same level of service.

As an affiliate with Cooper-Global Chauffeured Transportation (hereinafter referred to as “Cooper-Global”) your firm represents us in your community.  It is our goal to establish a long, respectful, and mutually rewarding relationship with your company. The success of our relationship is dependent on high levels of service to our clients, as well as honest and thorough communication between our companies.

Insurance and Indemnification

  1. Cooper-Global requires its affiliate partners to maintain one million dollars ($1,000,000.00) in liability insurance (five million dollars $5,000,000.00 for buses) and to provide a certificate of insurance listing Cooper-Global and Cooper Atlanta Inc. as an additional insured party.

Indemnification

As an affiliate partner of Cooper-Global Chauffeured Transportation Inc. (hereinafter referred to as “Cooper-Global”), you shall defend and indemnify Cooper-Global Chauffeured Transportation Inc. and the other Members and their respective officers, directors, employees and agents (collectively, the “Indemnified Parties”) and hold them harmless from any and all claims and liabilities of any nature, causes of action, losses, damages, or expenses (including reasonable attorneys fees) arising from or relating to (a) the provision of Services hereunder by affiliate partner or any other activities of affiliate partner under this Agreement, or (b) the breach by affiliate partner of any of its representations, warranties, covenants and agreements herein.  The Indemnified Party shall give affiliate partner notice of any claim or threatened claim which is subject to affiliate partner obligation of indemnification hereunder, and shall permit affiliate partner to participate in the conduct of the defense and settlement of such claim through counsel of its own choosing and at its own expense, provided that any failure on the Indemnified Party’s part to provide such notice or permit such participation shall not relieve affiliate partner of its obligation to indemnify the Indemnified Party hereunder if affiliate partner was not materially prejudiced by such failure.  In connection with any such claim, affiliate partner will furnish the Indemnified Party with all information or any other assistance requested by them which is reasonably necessary to conduct the defense or settlement thereof.  The other Members shall be third party beneficiaries of this Section and shall be entitled to rely on it to the same extent as if affiliate partner had agreed directly with such Members to so defend and indemnify them.

Service Standards

  • All affiliate vehicles used for Cooper-Global reservations must be (5) model years or younger, black in color, clean, and properly fueled for the job.
  • Affiliate shall conduct a criminal background investigation on all chauffeurs. Chauffeurs shall not have been convicted of, or served time on a sentence for a period of seven years previous for any felony, sexual offense, or any other crime of moral turpitude or a pattern of misdemeanors that evidences a disregard for the law unless he or she has received a pardon and can produce evidence of same.  
  • Affiliate shall have a zero-tolerance policy in place with regard to the use of drugs or alcohol while on duty.
  • Affiliate chauffeurs are required to wear black suits, white shirts, conservative ties, black socks, and polished black shoes. All hats must be approved industry standard chauffeur hats.
  • All vehicles must be stocked with Complimentary bottled water and a current day’s issue of a local or national newspaper.
  • Affiliate Chauffeurs are required to use Cooper-Global signage’s for all pickups and assist with all luggages. Cooper-Global will provide a sign for use on all Cooper-Global reservations with the client’s name at the time of reservation; this should be printed out or entered onto I pad or Android tablet and used by chauffeur. 
  • Affiliates are prohibited from subcontracting any job without prior authorization from Cooper-Global. If you are unable to complete the service, please notify us immediately.                                                                                                                                                          
  • Any vehicle upgrades require pre-approval from Cooper-Global. There will be NO additional charge for the upgrade if approved by Cooper.
  • Confidentiality is paramount. Any conversation overheard by the Chauffeur is confidential and must never be repeated by the Chauffeur.
  • Chauffeurs should engage in only casual conversation with the client upon being spoken to and should refrain from engaging in any negative or potentially controversial subjects such as politics or religion.
  • Affiliate chauffeurs may not ask/solicit the client for a tip nor request any form of payment.
  • Affiliates may not solicit nor accept business from the clients of Cooper-Global and only Cooper-Global or blank chauffeur cards may be distributed to the passenger for chauffeur’s contact info as needed.
  • Reservations must be mapped out and pre-planned prior to pick up. Chauffeurs should never have to ask a client for directions. Preparation should include the ensuring that the right vehicle is being used for the requested number of passengers.
  • Trip planning should include having the affiliate vehicle on location not less than 15 minutes prior to pick up. This time is not billable and is not to be scheduled into booking time.
  • Any additional reservations, stops and changes in itineraries must be communicated immediately to Cooper-Global. If the client request chauffeurs to make a new reservation, please do so. Client should sign that this was authorized.
  • No vehicle shall be released from a job without prior authorization from Cooper-Global.
  • Affiliates shall honor a two (2) hour cancellation policy with no charge for Sedans and SUV’s. (20) Hours for passenger vans and limousines (60 hours) for all minibuses, limo buses & coaches

Communication with Cooper-Global Chauffeured Transportation

Cooper-Global will communicate reservations to affiliates via;

      1. System-System (Fleet book, Livery to Livery)
      2. E-mail
      3. Fax
      4. Phone
  • Cooper-Global requests that all reservations to be confirmed by the affiliate within 3 hours of receipt. For ASAP/same day reservations Cooper-Global will call for availability and require immediate confirmation upon receipt of reservation.
  • Any modifications or cancellations will follow the same guidelines as new reservations.
  • If an affiliate chauffeur does not make contact with the client after fifteen (15) minutes on rides without an authorized wait, Cooper-Global must be notified at that time. The exception is airport pick-ups (Hartsfield-Jackson Airport); if client contact is not made within thirty (30) minutes of the flight arriving at gate. Cooper-Global must be notified. This will allow Cooper-Global 15 minutes to ascertain the disposition of reservation.
  • Any service issues or potential service issues must be communicated immediately to Cooper-Global as they occur. For example, if it is determined/realized that a chauffeur will be late for a pick-up, we must be notified prior to the scheduled pick up time. Please call Cooper-Global at 770-455-9600. This will allow us to remain proactive in the communication with our client.
  • Negotiated rates shall be valid for a minimum period of twelve (12) months and require a 30-day notification prior to any change.
  • For Road Shows & VIP clients, the chauffeur’s name and contact number(s) must be provided to Cooper-Global by 2:00 pm EST. the day before the job.
  • No Show Policy- when a Client has made no contact with the chauffeur or Cooper-Global. This will be considered a billable trip to client and payable to affiliate IF the following criteria were met:
  1. Chauffeur arrived at scheduled pick up location 15 minutes prior to scheduled pick up time.
  2. Airports (Hartsfield-Jackson Airport); Chauffeur waits 45 minutes for all domestic flights and international flights, starting from the arrival time at the gate.
  3. Hotels- Chauffeur waits at least 15 min on location and has checked with doorpersons or front desk.
  4. Has attempted to make contact with client several times via cell phone.
  5. Receives authorization of vehicle release from Cooper-Global Dispatch prior to leaving location.

Above all, keep us informed. If problems arise, it is yours and our responsibility to make it right for the client. We are depending on your professionalism to provide the level of service our clients expect from us; in working cooperatively with you, we will do our best to make that happen.

Billing/Payment Information

  1. All affiliate invoices for services must be billed through Cooper-Global, and NEVER to the client.
  2. After a job is completed, an invoice/times and charges are required from affiliate within 2 business day.
  3. All invoices/times and charges must detail the following:
    • Cooper-Global trip #
    • Affiliate trip/invoice #
    • Complete breakdown of times and charges including but not limited to the following:
        • Total hours of use on a time/hourly job
        • Passenger in vehicle times
        • Separated base, gratuity, fuel, parking/tolls and out of pocket expenses
  1. All invoices must be faxed to our accounting department @: 678-990-4980 or emailed to: accounting@cooper-global.com.
  2. Cooper-Global requires a daily invoice/receipt for all trips whether it is for monthly billing or being billed to the Cooper-Global credit card.

Payment Information

  1. Invoices or charges may not be paid without a timely invoice or record of daily times and charges.
  2. Cooper-Global reserves the right to close out a trip at the initial agreed rate, if invoice/times and charges have not been received within 2 business days of completion of trip.
  3. At its sole discretion, Cooper-Global reserves the right to withhold payment on or recapture payment on trips that have a subsequent Incident Report generated on it.
  4. Cooper-Global agrees to pay its affiliates by check net 15 days. Invoices will be paid based on the invoice date on which Cooper-Global receives the daily times and charges or invoice, not necessarily on the date of trip.

Our Commitment

  1. As your partner, we promise to keep open and honest lines of communication with you.
  2. We will provide you will all pertinent information including correct pick up and drop off locations, contact cell phone numbers (as available), and vehicle types.
  3. We will always treat you and your staff in a respectful, professional manner.
  4. We promise to provide information to you in a timely manner.
  5. We will provide your clients, in our market, with the same exceptional level of service we expect from you

Cooper Global Chauffeured Transportation Affiliate Partner Nondisclosure

            The undersigned, ,   at , in consideration for and as a condition of my initial and/or continued engagement as an affiliate (the “Affiliate”) of Cooper Global Chauffeured Transportation (the “Company”), hereby agrees with the Company as follows:

  1. Nonsolicitation. During the period of engagement by the Company and for a period of one (1) years after termination of  engagement (for any reason), the Affiliate will not directly or indirectly either for himself or for any other commercial enterprise, solicit, divert or take away or attempt to solicit, divert or take away, any of the Company’s customers, business or prospective customers in existence at the time of termination of such engagement on behalf of any organization competitive to the Company’s business.  For purposes of this Agreement, “prospective customers” shall include those customers being solicited by the Company at the time of the Affiliate’s termination.  During such engagement with the Company and for a period of one (1) years after termination of such engagement (for any reason), the Affiliate will not solicit or discuss with any employee of the Company the employment or engagement of such Company employee by any commercial enterprise (whether or not competitive to the Company’s business), other than for the benefit of the Company, nor recruit, attempt to recruit, hire, or attempt to hire any such Company employee other than on behalf of the Company.
  1. Nondisclosure Obligation. The Affiliate will not at any time, whether during or after the termination of engagement, for any reason whatsoever (other than to promote and advance the business of the Company), reveal to any person or entity (both commercial and non-commercial) any of the trade secrets or confidential business information concerning the Company: marketing plans and strategies; pricing and costing policies; confidential information of the Company’s suppliers, customers and partners; customer and supplier lists and accounts; or nonpublic financial information of the Company so far as they have come or may come to the Affiliate’s knowledge, except as may be required in the ordinary course of performing his duties as an affiliate of the Company.  This restriction shall not apply to:  (i) information that may be disclosed generally or is in the public domain through no fault of the Affiliate; (ii) information received from a third party outside the Company that was disclosed without a breach of any confidentiality obligation; (iii) information approved for release by written authorization of the Company; or (iv) information that may be required by law or an order of any court, agency or proceeding to be disclosed.  The Affiliate shall keep secret all matters of such nature entrusted to him and shall not use or disclose any such information for the benefit of any third party in any manner which may injure or cause loss to the Company, whether directly or indirectly.
  1. Remedies Upon Breach. The Affiliate agrees that any breach of this Agreement by the Affiliate could cause irreparable damage to the Company.  The Company shall have, in addition to any and all remedies of law, the right to an injunction or other equitable relief to prevent any violation of the Affiliate’s obligations hereunder.
